VENDOR TERMS OF SERVICE

Pranalink — the domain name pranalink.com — (“Pranalink”, “we”, “us” or “our”) and all services provided by it are owned by Quanta Centre, Inc. All intellectual property rights associated with it shall vest with Quanta Centre, Inc. unless otherwise stated herein.

Please read and understand these Vendor Terms of Service (Terms) carefully before you access and use Pranalink as a platform for displaying, advertising, and selling your products. We explain your rights and responsibilities in these Terms. If you do not agree with these Terms, you may not use Pranalink.

Users (“you”, “your”) refers to the end user or person using Pranalink as a platform to display, market, or sell any products or services.

By accessing and using Pranalink, we rightfully assume that you have read, understood, and agreed to be bound by the terms and conditions herein and the Privacy Policy as may be amended from time to time. You shall not access Pranalink or use its services if you do not agree with these Terms.

We reserve the right, at our sole discretion, to modify, change, add, or remove any portions of these Terms at any time without prior notice. Your continued use of Pranalink after any modification constitutes acceptance of such modifications.


Acceptance of Terms

You give your assent in the following manner:

  • By clicking “Agree” — you expressly agree with our Terms and other policies of Pranalink. You acknowledge that your electronic agreement is legally valid and complies with all legal necessities.
  • By accessing or using Pranalink — through its mobile application or website, you allow us to consider you in agreement with our Terms and policies from the point in time when you first access Pranalink.

Your Account

  • You must be at least 18 years old and not barred by any court from entering a contract to register and use Pranalink.
  • You agree to provide accurate information about yourself and to create only one account.
  • You are responsible for keeping your password secret. You will not share your password or transfer your account to anyone else without our permission.
  • You are responsible for any activity that happens through your account, and you represent that all information provided to Pranalink is true and up to date.
  • We may suspend your account or stop providing services if you do not comply with our Terms or if we are investigating suspected misconduct.
  • We may need to change your username in certain circumstances, such as if we find it misleading.
  • You agree to provide a Form W9 or W8, whichever applies.
  • These Terms do not create any agency, partnership, joint venture, employment, or franchisee relationship between you and Pranalink.

Pranalink Service Fees & Payment

Pranalink provides an online platform where you can display, promote, and sell your products and services to customers. Pranalink currently uses Stripe as our third-party payment gateway, who also deducts their own service charges per transaction. The following Pranalink fees apply:

  • Stripe service charges are separate from the above. See stripe.com for current rates. You must register with Stripe to use our service.
  • You shall be liable to pay all applicable taxes on your profits as per relevant tax laws.

Free Listing Offer

Your first 100 product listings are completely free. Additional listings beyond 100 are charged at $0.20 per listing.

Products and Services

You may use our service solely for the purpose of displaying, promoting, and selling your products and services. The following rules apply to all listings:

  • You shall not sell any items from the prohibited items list.
  • Products must display a price in monetary value. Exchange or barter is not allowed.
  • Listings must not be used to redirect traffic to another website in order to circumvent Pranalink fees.
  • Product descriptions must not be plagiarized, and listings must contain clear photographs that accurately describe the product.
  • Warranty, return policy, and cancellation policy must be clearly stated within each listing.
  • Descriptions must not contain misleading words or phrases that manipulate Pranalink search results or browsing experience.
  • Products must be listed in the correct category.
  • Stock images may only be used for new products. All images must comply with copyright and trademark law — use only images you own or have licensed.
  • Keyword spamming to manipulate search rankings is not permitted.
  • When listing a gemstone, you must specify whether it is natural or synthetic, and disclose any treatment, enhancement, filling, or alteration.
  • Pranalink does not endorse your products. You are solely responsible for your products and shall indemnify us for any loss caused by customer dissatisfaction or complaints.
  • By listing on Pranalink, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to host, use, distribute, modify, display, and create derivative works of your content for advertising purposes. You agree not to assert any moral rights or rights of publicity against us for using your content.
  • By listing on Pranalink, you warrant and confirm that:
    • You are the rightful owner of the product.
    • You have good title, rights, and interest in the goods and the right to sell.
    • The product is free from charges or encumbrances in favor of any third party.
    • The product is free from defect.

Prohibited Items

  • Alcohol
  • Tobacco and tobacco-related products, including electronic devices that imitate tobacco products
  • Firearms, weapons, explosives, and similar substances
  • Hazardous chemicals, pharmaceutical compounds, and other restricted chemicals
  • Material owned by governments
  • Stolen property, securities, and financial assets
  • Content opposed to public policy
  • Narcotics and substances prohibited from sale by national law
  • Pornography and other obscene content
  • Animal and wildlife products
  • Human body parts, fluids, and remains
  • Items that promote or support violence
  • Items that pledge, show, or suggest political affiliation
  • Chauvinistic or xenophobic items
  • Living items
  • Items contaminated with heavy staining, corrosion, or similar damage
  • Items with damage concealed to hide flaws on initial inspection
  • Refurbished items
  • Items that have expired, or whose expiry date is close to the expected delivery date
  • Items that do not function perfectly in every regard
  • Items missing essential materials or components
  • Used items, unless the used state and condition are clearly disclosed
  • Such other items as Pranalink may notify at a later date

Order and Dispatch

You must maintain proper stock levels and update your listings when items go out of stock. Once you receive an order notification, ensure the product is ready for dispatch per your stated shop policies. You must:

  • Provide customers with tracking numbers in a timely manner.
  • Inform customers of any delays promptly.
  • Seek extensions only in critical or unavoidable circumstances, as delays affect your reputation and ratings.

Pranalink monitors shipment status. Frequent delays may result in account suspension or termination.

Cancellation, Return and Refund

Cancellation by customer: Provide your cancellation and refund policy in the designated area on the website. Once a customer’s cancellation request is accepted, you must cancel the order and refund the amount per your policy.

Cancellation by vendor: You may cancel an order within 48 hours of receipt only under the following circumstances. Upon cancellation, you must refund the full amount charged. A penalty of up to 2% of the order value may be charged for cancellations after 48 hours.

  • The address provided by the customer is insufficient.
  • You are unable to fulfil the order due to insufficient stock.

Return: Customers may request a return for products that are damaged, faulty, inaccurately described, wrong size, not as ordered, or that failed to arrive within the promised timeframe. You must accept valid return requests that comply with your stated return policy. You may refuse requests for items explicitly listed as non-returnable (e.g., digital media, customized items, perishable goods).

Refunds: You must refund eligible amounts to the customer in accordance with your cancellation and refund policy.

Refund Policy requirement: A cancellation and refund policy is mandatory. It must clearly state acceptable cancellation criteria and refund amounts. If you do not offer refunds, state so explicitly — however, you remain liable to refund the full amount if you initiate the cancellation. Your policy must not conflict with these Terms.

Promotions and Offers

Pranalink may run promotions offering discounts or offers for products listed on the platform. You will be given prior notice and may consent or decline to participate in whole or in part.

Vendor Protection

Pranalink protects you from certain risks through a Vendor Protection Program. See the full Vendor Protection Policy at the end of these Terms.

Code of Conduct

Pranalink requires all vendors to maintain fair and trustworthy behavior. Violation may result in loss of selling privileges and removal from Pranalink.

  • Abide by all applicable laws and these Terms at all times.
  • Maintain accurate, current account information and never misrepresent yourself.
  • Do not engage in misleading, inappropriate, or offensive behavior in any activity, including:
    • Information provided on your account
    • Information in listings, content, or images
    • Communication between you and Pranalink or your customers
  • Do not post or transmit — or allow a third party to post or transmit through you — any of the following:
    • Content containing profanity
    • False, inaccurate, or misleading content
    • Malicious code, viruses, or harmful software
    • Cyberbullying, spam, or junk content
    • Defamatory, hateful, obscene, pornographic, or violent content
    • Content that infringes or misappropriates third-party intellectual property rights
    • Content that violates the privacy or publicity rights of any party
    • Content that contains advertisements, solicitations, or links to illegal activities
    • Content that incites religious hatred, community division, or supports terrorism
    • Content that violates consumer protection, anti-discrimination, or false advertising laws
    • Content that could harm our server infrastructure

Disclaimers and Warranties

EXCEPT AS PROVIDED IN THESE TERMS, AND TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, WE MAKE NO WARRANTIES — EXPRESS, IMPLIED, OR STATUTORY — INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR SATISFACTORY QUALITY.

  • Pranalink is only an online marketplace platform. We do not guarantee any level of business success.
  • We do not guarantee uninterrupted service. Uptime depends on factors outside our control, including your internet connection, hardware, electricity, and third-party service availability.
  • You are solely responsible for all products, content, and comments posted by you and your customers.
  • Force Majeure: We shall not be liable for interruptions caused by events beyond our reasonable control, including acts of God, fires, explosions, severe weather, wars, riots, labor disputes, governmental requirements, hacking, server malfunctions, connectivity issues, or third-party service failures.

Indemnification

  • You agree to indemnify, defend, and hold Pranalink and its affiliates, directors, officers, employees, and agents harmless from any liabilities, losses, damages, or costs — including reasonable attorneys’ fees — arising from: (i) infringement of intellectual property rights; (ii) defamation, obscenity, or privacy violations; (iii) spamming or illegal conduct; (iv) damage to our servers or equipment caused by your acts or omissions; (v) personal injury or property damage arising from your activities; or (vi) any other damage arising from your products or services.
  • You further agree to indemnify us against any customer claims, actions, or disputes related to products and services you display, market, or sell through Pranalink.

Limitation of Liability

You are solely responsible for the consequences of using our services.

We shall not be liable for any indirect or consequential loss, damage, cost, or expense of any kind, including loss of data, loss of profit, loss of contracts, loss of operation time, or loss of goodwill — even if we were advised of their possibility. Our total liability under or in connection with these Terms shall be limited to the fee collected from the related transaction with you.

Suspension of Services

In the event of any violation of these Terms, or upon a credible written complaint from a third party alleging violation of any law, Pranalink may, at its sole discretion and after notifying you in writing, suspend your account.

Upon suspension, you will be given an opportunity to correct the breach. If not corrected within ten (10) days, the account may be terminated. No Pranalink fee refund requests will be entertained during the suspension period.

Termination and Effects of Termination

  • Either party may terminate services at any time without assigning a reason.
  • Pranalink may unilaterally terminate your account if, at our sole discretion, you have breached these Terms or your actions are not aligned with Pranalink’s best interests.
  • Upon termination, your account will be locked. Your data will be retained for 90 days to enable a smooth restart if you choose to return, unless you request immediate deletion.
  • Termination does not extinguish your liability for unpaid fees or Pranalink’s right to claim damages for any breach.

Assignment

You shall not assign or transfer any rights acquired under these Terms to any third party. You shall not share your account details with any third party.

Pranalink may assign its service obligations to affiliates, subsidiaries, parent companies, or sister concerns without notice, provided the assignment does not cause any interruption in services.

Disputes

  • Pranalink will attempt to assist in resolving disputes if the vendor has acted in good faith, based solely on our interpretation of our policies. We will not make judgments regarding legal issues or claims, and we have no obligation to resolve any dispute. When a customer purchases your product through Pranalink, a contract is formed between you and the customer — we are not party to that contract. See the Vendor Protection Policy.
  • You release Pranalink from any claims, demands, and damages arising out of disputes with customers, other users, or third parties.

Jurisdiction

These Terms are governed by the laws of the State of Colorado, without regard to where you live. If you live outside the United States, you may also be entitled to the protection of mandatory consumer protection provisions of your local law.


Vendor Protection Policy

This policy explains the circumstances under which Pranalink will protect vendors from unreasonable negative feedback for events beyond their control.

Pranalink’s Vendor Protection Program shields vendors from negative publicity when a customer raises a claim for an item damaged or lost in transit, or a returned item that was opened, used, or damaged — where the vendor operated in good faith.

Pranalink encourages all disputes to be resolved between vendor and customer first. We will intervene, moderate, and arbitrate only when discussions have failed after 10 days.

Pranalink may remove negative feedback in instances such as:

  • A product arrives late even though it was shipped on time, or due to carrier disruptions
  • An international order is stuck at customs
  • Disputes caused by Pranalink platform bugs
  • Natural calamity or severe weather interferes with timely performance
  • Damaged or lost items where the vendor acts in good faith to compensate the buyer
  • A buyer retracts their bid, fails to pay, changes their order, or requests extras
  • A buyer has an unusually high rate of complaints

Eligibility Requirements

To qualify for Vendor Protection, your store and the specific order must meet all of the following criteria:

  • Your store must be in good standing — no policy violations.
  • You have clear store policies for returns, exchanges, and custom orders that comply with Pranalink policies and local law.
  • Your listings include detailed images and accurate product specifications.
  • Your listings include reasonable and accurate processing times or ship-by dates.
  • You respond to Pranalink’s requests for documentation or information promptly.
  • The item is a tangible, physical good that can be shipped.
  • The item is shipped to the address appearing on the Pranalink order page.

Order Eligibility & Claim Process

If your store and order satisfy the eligibility requirements, Pranalink will try to help resolve the dispute. To maintain eligibility:

  • Ship orders according to the stated processing time or ship-by date, or as agreed through Pranalink Conversations.
  • Ship to the address provided on Pranalink. If a buyer provides an alternate shipping address via Communications, be cautious of potential scams — you may cancel and refund the order and ask the buyer to re-purchase with the correct address.
  • Mark the order as shipped immediately after dispatch.
  • Provide valid proof of shipping — a tracking or shipping number that shows route and delivery progress.

Response deadlines: For Non-Delivery or Not as Described cases, reply to Pranalink’s inquiries within 2 calendar days (or the time noted in the case). For chargebacks, respond within 3 calendar days. Failure to respond in time may prevent us from resolving the dispute in your favor.
